Statement of Rights and Responsibilities
This Statement of Rights and Responsibilities (“Statement”) is our terms of service that governs our relationship with individuals (“users”) using the Portal, Wolters Kluwer and CCH (“CCH iFirm”) and NCCA Chartered Professional Accountants(“NCCA”). By using or accessing the Portal, you agree to the terms of this Statement. This Statement is subject to change and NCCA will provide notice of material changes to this Statement by posting announcements on their website.
The Portal is an online space where users can securely exchange information with NCCA. The Portal is hosted, maintained and administered by a third party, CCH iFirm. CCH iFirm maintains their own terms of service agreement and privacy policies with regards to their involvement with users’ personal information. When the information within this Statement is in conflict with the terms outlined within CCH iFirm, our Statement is deemed be take precedence.

Sharing Your Content and Information
You are deemed to own all of the content and information you add to the Portal, and you can add or remove the content at your demand. If you add content that is not owned by yourself or is protected by another party, we are not responsible nor will we be liable for such content.
We do our best to keep the Portal safe, but we cannot guarantee it. We need your help to keep the Portal safe, which includes the following commitments by you:
You will not upload unauthorized commercial communications (such as spam).
You will not upload content that: is hate speech, threatening, or pornographic; incites violence or contains nudity or graphic or gratuitous violence.
You will not upload viruses or other malicious code.
You will not solicit login information or access a Portal belonging to someone else.
You will not use the Portal to do anything unlawful, misleading, malicious, or discriminatory.
You will not do anything that could disable, overburden, or impair the proper working or appearance of the Portal, such as a denial of service attack or interference with page rendering or other Portal functionality.
You will not facilitate or encourage any violations of this Statement or our policies.
Registration and Portal Security
The registration process will be initiated by NCCA and initial login credentials are sent via email. To request access or to remove a portal account please email to email@example.com. Users will be able to update their personal information once the registration process has been completed. The information personal information provided is important and we need you help to ensure it is correct. As the information is important, we need to ensure it is properly protected and we need your help to keep it that way. Here are some commitments you make to us relating to maintaining the security of your Portal:
You will not provide any false personal information.
You will not use the Portal if you are under 18.
You will keep your contact information accurate and up-to-date.
You will not share your password, let anyone else access your Portal, or do anything else that might jeopardize the security of your Portal.
Mobile and Other Devices
Please be aware that your carrier’s normal rates and fees, such as text messaging and data charges, will still apply.
The portal does not currently accept payments. It is our intention to provide this service in the future. Once this service is provided, please check back for our terms regarding Payments.
If you violate the letter or spirit of this Statement or otherwise create risk or possible legal exposure for us, we will stop providing the Portal to you. We will notify you by email or at the next time, you attempt to access your Portal. don’t think we have a way to do that
You may also instruct NCCA to delete your Portal or disable your application at any time. In all such cases, this Statement shall terminate and all your personal information and content will be removed.
You will resolve any claim, cause of action or dispute (claim) you have with us arising out of or relating to this Statement in the courts of the jurisdiction of Alberta Canada. The laws of the Province of Alberta will govern this Statement, as well as any claim that might arise between you and us, without regard to conflict of law provisions.
If anyone brings a claim against us related to your actions, content or information on the Portal, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable any and all? legal fees and costs) related to such claim. Although we provide rules for user conduct, we do not control or direct users’ actions on the Portal and are not responsible for the content or information users transmit or share on the Portal. We are not responsible for the conduct, whether online or offline, of any user of the Portal.
This Statement is an agreement between you and NCCA and does not warrant an agreement with you and CCH iFirm.
The most current revision of this Statement will always take precedence over the earlier revisions.
If any portion of this Statement is found to be unenforceable, the remaining portion will remain in full force and effect.
If we fail to enforce any of this Statement, it will not be considered a waiver.
Any amendment to or waiver of this Statement must be made in writing and signed by us.
You will not transfer any of your rights or obligations under this Statement to anyone else without our consent.
All of our rights and obligations under this Statement are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.
Nothing in this Statement shall prevent us from complying with the law.
This Statement does not confer any third-party beneficiary rights.
We reserve all rights not expressly granted to you.
You will comply with all applicable laws when using or accessing the Portal.
